A corporate spin-off is one of the most complex transactions a company will execute. When GE spun off GE HealthCare and GE Vernova, or when Johnson & Johnson separated Kenvue, or when Danaher executed one of its many business separations, each required a dedicated program management office, hundreds of workstreams, and a master project schedule that tracked dependencies across legal, tax, finance, IT, HR, real estate, and operations simultaneously.
The typical spin-off timeline from board approval to distribution of SpinCo shares is 12–24 months. Without a Gantt chart capturing every workstream and their interdependencies, transactions slip, Day 1 readiness is compromised, and the resulting operational failures create exactly the kind of headline risk that spin-offs are designed to avoid.
The Three Structural Forms and Their Gantt Implications
Before building the project schedule, confirm the transaction structure — it determines the regulatory and securities filing track:
Spin-off: The parent distributes shares of the subsidiary (SpinCo) to parent shareholders on a pro-rata basis. This is the most common structure and can be structured as tax-free under IRC Section 355 if properly executed. Shareholders end up owning shares in both ParentCo and SpinCo.
Split-off: Shareholders tender parent shares in exchange for SpinCo shares — a self-tender offer mechanism. Requires SEC registration of the exchange offer. Tax treatment mirrors the spin-off under IRC 355.
Equity carve-out: An IPO of a minority stake in SpinCo, with ParentCo retaining majority control. Faster than a full separation but leaves a messy dual-ownership structure that usually precedes a full spin-off.
The structure choice determines whether an S-1 (IPO registration) or Form 10 (spin-off registration) is filed with the SEC, which drives the disclosure workstream timeline.
Phase 1 — Transaction Authorization and Structuring (Months 1–4)
Board authorization: The parent's board of directors authorizes the separation and typically establishes a transaction committee. Corporate governance counsel prepares the board resolution and conflict-of-interest analysis (especially important if directors serve on both ParentCo and SpinCo boards).
Separation Management Office (SMO) formation: The SMO is the program office that manages the transaction. Appoint a dedicated SMO leader (typically a senior VP of corporate development or a seconded Big Four program manager), and assign workstream leads for each functional area: Legal, Tax, Finance/Treasury, IT, HR, Real Estate, Supply Chain, and Communications.
Tax structure — IRC Section 355: For a tax-free spin-off, the transaction must satisfy multiple conditions under IRC 355:
- Active business requirement: Both ParentCo and SpinCo must be engaged in the active conduct of a business for 5 years prior to the distribution
- Business purpose: The separation must have a genuine business purpose beyond tax avoidance
- Device prohibition: The transaction cannot be used principally as a device to distribute earnings and profits
- Continuity of interest: Neither ParentCo nor SpinCo shareholders can have a pre-arranged plan to sell more than 50% of either company
IRS Private Letter Ruling (PLR): For certainty on tax-free treatment, large spin-offs often seek an IRS PLR. The PLR process: draft submission → IRS conference → IRS review and additional information requests → ruling issuance. Timeline: 3–5 months minimum, often longer. Note that IRS PLR issuance pace has slowed significantly — budget 5–7 months and build the Gantt accordingly.
Hart-Scott-Rodino (HSR) antitrust review: Required if the transaction meets HSR size-of-transaction thresholds (typically $119.5M or more in assets or revenues in 2026). File the HSR premerger notification form → initial waiting period of 30 days (15 days for cash tender offers) → clearance or second request.
Gantt anchor: SMO formed Month 1. PLR filed Month 2. Form 10/S-1 drafting begins Month 3. HSR filed (if applicable) Month 4.
Phase 2 — Legal Entity Restructuring (Months 2–8)
The business being separated must be carved into a clean legal entity that can stand alone on Day 1. This legal entity restructuring workstream is often underestimated in complexity:
Entity formation: SpinCo is typically incorporated in Delaware. Filing is fast (24-hour Delaware expedited filing is available) but the entity structure — how many subsidiaries, which jurisdictions, how foreign operations are held — requires 2–3 months of analysis.
Asset and liability transfer: Agreements to transfer assets (real property, equipment, inventory, IP, contracts, permits, licenses) from ParentCo to SpinCo must be drafted and executed. This typically involves a Master Separation Agreement (MSA) that governs the entire transaction.
IP ownership and licensing: Who owns the intellectual property after separation? What does SpinCo license from ParentCo, and at what royalty? What does ParentCo license from SpinCo? Transfer pricing rules require that any post-separation intercompany IP license be priced at arm's length.
Customer contract assignment: Many customer contracts require consent for assignment. Identify every contract that requires consent, prepare the consent request communication, and track responses. Contracts that cannot be assigned in time for closing require a sub-contracting arrangement or risk notification to the customer.
Regulatory permits and licenses: Permits are often not assignable — SpinCo may need to apply for new permits in its own name. Identify permits (environmental, operating, professional) and determine whether transfer, novation, or new application is required. New permit applications can take 60–120 days.

Phase 3 — Financial Separation (Months 3–10)
SpinCo needs its own standalone financial infrastructure by Day 1. This is one of the most technically demanding workstreams.
Carve-out financials: The SEC requires 2–3 years of audited carve-out financial statements for SpinCo in the Form 10. Carve-out financials require allocating shared corporate costs (legal, HR, IT, facilities) to SpinCo on a reasonable basis. This is a major audit engagement — engage the auditor at Month 3 and expect the audit to run 4–6 months.
Treasury separation: SpinCo needs its own bank accounts, credit facilities, and cash management infrastructure. Engage banking relationships at Month 4. SpinCo's credit facility negotiations typically take 60–90 days.
Tax separation: Transfer pricing analysis for any ongoing intercompany transactions. SpinCo's tax identification numbers, payroll tax registrations, and state/local tax registrations in all operating jurisdictions. Tax-sharing agreement between ParentCo and SpinCo for pre-closing tax periods.
Gantt anchor: Carve-out audit engagement Month 3. Carve-out financials complete Month 9. SpinCo credit facility signed Month 8.
Phase 4 — IT Separation (Months 4–18)
IT separation is consistently identified as the most time-consuming and expensive workstream in corporate separations. The central challenge is that ParentCo and SpinCo have been sharing IT systems — ERP, HR systems, CRM, email, cybersecurity infrastructure — for years, and untangling them requires simultaneous investment in new infrastructure while keeping the old systems running.
ERP carve-out: If ParentCo runs SAP or Oracle ERP, SpinCo needs its own instance by Day 1 (or a credible TSA-covered arrangement to use ParentCo's instance temporarily while migrating). ERP migration is a 12–18 month program in its own right. Options:
- Full migration: SpinCo implements a new ERP instance with all data migrated. Most complex, highest cost, cleanest outcome.
- TSA-covered continuation: SpinCo uses ParentCo's ERP under a Transition Service Agreement (TSA) for 12–24 months while building out its own. Faster to Day 1 but creates ongoing dependency and TSA cost.
- Lift-and-shift: Clone the ParentCo ERP environment and re-platform SpinCo. Faster than full migration but carries technical debt.
Data separation: Determine which data belongs to ParentCo, which to SpinCo, and which is shared. Shared data that is operationally necessary for both companies post-separation requires a data sharing agreement and access control framework.
Cybersecurity: Separate network infrastructure, access controls, and security monitoring. CISOs of both entities must sign off on Day 1 security posture.
Gantt anchor: IT separation strategy decided Month 4. ERP decision Month 5. Day 1 IT readiness certified Month 17.
Phase 5 — Transition Services Agreement (Months 6–24 and Beyond)
The Transition Services Agreement (TSA) is the contract under which ParentCo provides services to SpinCo (and in some cases SpinCo to ParentCo) for a defined transition period after closing. TSAs cover IT, finance, HR, legal, facilities, and any other function where SpinCo is not yet self-sufficient on Day 1.
TSA design principles:
- Every TSA service has a fixed end date — typically 12–24 months
- TSA pricing should be at cost plus a markup (typically 10–15%) — underpriced TSAs create subsidy relationships that breed resentment
- TSA exit planning should be embedded in the Gantt from the beginning, not started after closing
TSA exit is often harder than the original separation. Experienced separation practitioners build the TSA exit milestones into the master Gantt at Month 1 — not after closing. SpinCo's path to operational independence is as important as closing.
Gantt anchor: TSA schedules drafted Month 6. TSA exit plan for each service stream included in Gantt by Month 8.
Phase 6 — SEC Filing and Distribution (Months 10–20)
Form 10 preparation: The Form 10 is the SEC registration statement for SpinCo as a standalone public company. It includes carve-out audited financials, MD&A (Management's Discussion and Analysis), business description, risk factors, executive compensation disclosure, and a description of the separation. Form 10 requires multiple SEC comment rounds — typically 2–3 rounds over 3–4 months.
Distribution mechanics: Once the Form 10 is effective, ParentCo declares the distribution record date and distribution date. Shareholders of ParentCo receive SpinCo shares in their brokerage accounts on the distribution date. SpinCo begins trading as an independent public company (often on a "when-issued" basis for 2–3 weeks before the record date).
Gantt anchor: Form 10 filed Month 12. SEC comments resolved Month 16. Distribution date Month 18–20.
Common Spin-Off Gantt Failures
Starting IT separation planning too late. Many transaction teams treat IT as a Phase 3 problem. It is a Day 1 problem — SpinCo cannot operate without IT systems. Start the IT workstream at Month 4, not Month 10.
Underestimating TSA design. TSAs written in a hurry at Month 14 create conflicts that last for years. TSA design belongs in the Gantt from Month 1.
Missing contract consent deadlines. Customer contracts requiring assignment consent have counterparty timing. Start the consent process at Month 5, not 60 days before closing.
